By accessing or using OdoAlibi's mileage tracking application, website, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.
2. Description of Services
OdoAlibi provides automatic mileage tracking, expense management, and reporting services designed to help individuals and businesses track business-related travel for tax deduction and reimbursement purposes.
3. Account Registration
To use our Services, you must:
- Be at least 16 years old
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update your account information as needed
- Accept responsibility for all activities under your account
4. Subscription and Payments
4.1 Free and Paid Plans
We offer both free and paid subscription plans. Free plans have limited features. Paid plans are billed monthly or annually as selected at the time of purchase.
4.2 Billing
By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. You are responsible for keeping your payment information current.
4.3 Cancellation
You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds are provided for partial billing periods.
4.4 Price Changes
We reserve the right to change our pricing. We will provide at least 30 days' notice of any price increases.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Falsify mileage or expense data
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Services
- Reverse engineer or copy the Services
- Use the Services to transmit malware or harmful code
- Resell or redistribute the Services without authorization
6. Intellectual Property
The Services, including all content, features, and functionality, are owned by OdoAlibi and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written consent.
7. Your Data
You retain ownership of the data you input into our Services. By using our Services, you grant us a license to use your data solely to provide and improve the Services. See our Privacy Policy for details on how we handle your data.
8. Third-Party Integrations
Our Services may integrate with third-party services (e.g., QuickBooks, ADP, Salesforce). Your use of such integrations is subject to the third party's terms and policies. We are not responsible for third-party services.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE ARE NOT A TAX ADVISOR AND DO NOT GUARANTEE THAT REPORTS GENERATED WILL BE ACCEPTED BY TAX AUTHORITIES.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ODOALIBI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless OdoAlibi and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.
12. Termination
We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services ceases immediately. You may export your data before termination.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to conflict of law principles.
14. Dispute Resolution
Any disputes arising from these Terms or the Services shall be resolved through binding arbitration, except where prohibited by law. You waive any right to participate in class action lawsuits.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of the Services after changes constitutes acceptance of the new Terms.
